1. GENERAL
These terms and conditions contain the complete and only correct agreement between the parties regarding the products. It is possible to change them only by written agreement. The agreement does not limit the legal rights of the Buyer.
2. DELIVERY
The seller promises good faith delivery by the agreed date and place. The buyer is responsible for unloading. The proof of delivery is the receipt. The packaging is included in the price. Each delivery is a separate independent contract. The buyer is responsible for the accuracy of the data provided for delivery.
3. PRICE
Prices do not include VAT and all other duties, fees or taxes. Shipping costs will be agreed with the Buyer in writing, or paid at cost. The seller reserves the right to recover any exchange losses due to late payment. The timing of payment is essential to the contract. The seller retains title until receiving full payment for the goods.
4. SELLER’S WARRANTY
The seller guarantees the conformity of the quality of the goods with the valid TDS. The products remain under warranty if they conform to the model accepted by the Seller.
SELLER DOES NOT WARRANT THAT THE PRODUCTS ARE FIT FOR ANY PARTICULAR PURPOSE OR AN INTENDED USE BY BUYER AND IT IS FOR BUYER TO SATISFY ITSELF THAT THE PRODUCTS ARE SO FIT.
The Seller's liability under the Warranty is valid provided that the Buyer has proven to comply with the operating instructions. The Buyer must inspect the products in detail after delivery and notify the Seller of any problems within 30 days from the date of delivery, otherwise the claims will be void.
Subject to the conditions for making a claim, the Seller has the opportunity to correct the problem, either refund the cost, or replace the product free of charge. Under other conditions and situations, the case is subject to settlement by mutual agreement on special conditions.
The seller is not responsible for any indirect losses associated with the consequences of using the product, except for cases when the reason was the inadequacy of the quality of the product as declared.
5. EVENTS BEYOND SELLER’S REASONABLE CONTROL
The Seller is not responsible for any failure to comply with the contract for reasons beyond the reasonable control of the Seller.
6. TERMINATION AND SUSPENSION
The Buyer has the right to file a claim if the Seller did not complete the order within the guaranteed time frame, unless the Buyer caused a delay in delivery.
The Seller has the right to terminate the current conditions if the Buyer does not accept delivery or does not fulfill the conditions for payment, or if, for any third-party reason, there has been a significant increase in the Seller's costs to fulfill the order (in this case, 30 days are given to resolve the issue).
7. INTELLECTUAL PROPERTY: AND THIRD PARTY CLAIMS
Intellectual property rights are retained. In the event of any claims, the party making the claim undertakes to notify the other.
8. ADVICE AND ASSISTANCE
The seller is not responsible for non-documented advice, promises and assistance from employees.
10. HEALTH AND SAFETY AT WORK
The Buyer is responsible for the safe receipt, storage and maintenance of the Products. The Buyer warrants that all relevant safety information is disseminated and communicated to everyone who interacts with the product.
11. LAW
This agreement is governed by and construed in accordance with the law of the country of incorporation of the selling company. Buyer hereby agrees that the courts have exclusive jurisdiction over all claims or litigation related to products or contract. However, the Seller may bring claims in any other courts of the relevant jurisdiction.
